These General Terms and Conditions (AGB) apply to all services provided by Thorsten Lange Schleiftechnik – STEIZL, Luhden, Lower Saxony (hereinafter „Contractor") to entrepreneurs within the meaning of § 14 BGB (hereinafter „Contractor"). Any conditions of the contractor that are in conflict with these AGB will not be accepted unless the contractor explicitly agrees in writing to their validity.
The contractor provides services in the areas of maintenance, repair and service of grinding machines as well as the delivery of wear parts and spare parts. The exact scope of services is specified in the respective offer or order confirmation.
The contractor’s offers are non-binding and non-binding. A contract will only come into effect upon the contractor’s written confirmation of the order or upon the commencement of the provision of services.
The prices mentioned in the offer are subject to statutory VAT. Invoices are payable within 14 days of the invoice date, unless otherwise agreed. In the event of late payment, interest at the statutory rate will be charged.
Delivery dates and execution periods are, unless explicitly designated as binding, non-binding guidelines. The contractor is not liable for delays caused by force majeure, supply bottlenecks, or other circumstances that the contractor cannot be held responsible for.
For defects in the rendered services or delivered parts, the statutory warranty period of 12 months begins upon acceptance or delivery. Defects must be reported in writing immediately upon discovery. The contractor is entitled to provide, at its discretion, subsequent rectification or replacement delivery.
The contractor is fully liable for intent and gross negligence, as well as for culpable injury to life, body, and health. Furthermore, liability is limited to the typically foreseeable damage. Any further liability is excluded.
The delivered goods remain the property of the contractor until full payment is received. The client is not entitled to pledge or assign the goods as security.

German law applies exclusively, excluding the UN Sales Convention. The place of performance and exclusive jurisdiction for all disputes arising from the contractual relationship shall be the place of business of the client, the place of business of the contractor in Lower Saxony.
Should any provisions of these terms and conditions be invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.
